UK Government Poised to Scrutinize Paramount's Proposed Acquisition of Warner Bros. Discovery
The British government is signaling its probable intervention in the proposed $110 billion acquisition of Warner Bros. Discovery by Paramount Skydance. This move is driven by critical concerns over maintaining diverse media ownership and content availability within the United Kingdom. Lisa Nandy, the UK's Secretary of State for Culture, Media and Sport, formally communicated this intent to both companies, highlighting the potential for a regulatory review.
This potential intervention stems from two primary concerns articulated by Secretary Nandy. Firstly, the government aims to ensure a sufficient variety of perspectives in news media across all UK markets. Secondly, it seeks to guarantee adequate pluralism among those controlling media enterprises and on-demand programming services, serving the diverse audiences throughout the nation. The government's scrutiny is particularly focused on how such a significant merger might affect prominent UK television channels and broadcasters like Channel 5, Cartoon Network, Nickelodeon, and CNN International, alongside streaming platforms such as Paramount+ and HBO Max. Nandy also expressed her desire to update public interest regulations to better account for the growing influence of streaming and video-on-demand services, underscoring the need for these considerations in all future media consolidations. The involved parties have been given a deadline of July 6 to submit additional information.
Should the decision to intervene be finalized, media regulator Ofcom will be tasked with assessing the public interest implications, while the Competition and Markets Authority will examine the merger's competitive impact. Following these reports, a more extensive investigation by the CMA could be initiated under the Enterprise Act 2002. Notably, this acquisition has already received approval in several major global markets, including the U.S., China, Australia, Germany, France, and Saudi Arabia, with the European Union also expected to give its consent pending certain adjustments, such as the dissolution of the Paramount-Universal distribution joint venture, UIP.
