Strategy's New Bitcoin Metrics: 'Net Bitcoin Per Share' Debuts

Strategy, a prominent entity in the cryptocurrency space, has unveiled a significant overhaul of its Bitcoin valuation methodology. This strategic adjustment introduces a suite of "net" metrics, meticulously designed to provide a clearer picture of the Bitcoin holdings attributable to common shareholders, by meticulously deducting various senior claims such as debt and preferred stock. This move signifies an evolution in financial reporting within the digital asset sector.

The company's updated approach also redefines key financial indicators. mNAV is now calculated as the share price divided by the net Bitcoin per share, with an accretion threshold of 1.0x. Amplification, serving as an equity multiplier, is set at approximately 1.5x, representing the ratio of Bitcoin reserve over net reserve. Furthermore, new credit assessment tools have been implemented to gauge the sustainability of the company's debt-backed model, including a hurdle rate of about 10.8% for the effective cost of credit, a break-even rate near 3.2%, and a flow rate of approximately -11%, which estimates the maximum permissible decline in Bitcoin's value before reserves can no longer cover debt and dividends.

Refined Valuation for Common Shareholders

Strategy has fundamentally revised its system for assessing the value of its Bitcoin assets. The core of this transformation involves the introduction of "net" metrics. These new calculations aim to provide a more precise understanding of the Bitcoin portion that truly belongs to common shareholders. By systematically subtracting the value of senior obligations, such as various forms of debt and preferred stock, the company offers a more transparent and unencumbered view of its digital asset ownership. This move is a direct response to the evolving landscape of digital credit and investor calls for enhanced clarity in financial reporting.

This innovative framework is highlighted by the creation of "net reserve," which stands at approximately $35 billion. This figure is derived by deducting $22.2 billion in senior claims from Strategy's total Bitcoin holdings of $57 billion (comprising 843,775 BTC) and $3.2 billion in cash. Consequently, the newly introduced "net Bitcoin per share" is calculated by dividing this net reserve by the fully diluted share count. This metric has demonstrated remarkable growth, escalating from $13 (44,000 sats) at the close of 2020 to $95 (143,000 sats), reflecting a compound annual growth rate of 43%, significantly outpacing Bitcoin's own 16% growth over the same period. This sophisticated approach aims to offer a more accurate and insightful valuation for investors.

Adapting to Market Dynamics and Investor Needs

The strategic shifts undertaken by Strategy are a direct consequence of market pressures and a conscious pivot towards a "digital credit" paradigm. This evolution acknowledges the increasing complexity of financing within the cryptocurrency domain and the imperative to provide investors with robust and transparent valuation tools. The executive leadership has emphasized the necessity of a new financial lexicon to accurately represent the dynamics of Bitcoin Capital Markets, underscoring a commitment to adapting financial language to the realities of the digital asset economy.

This comprehensive overhaul coincides with Strategy's stock, MSTR, facing considerable market scrutiny, trading significantly below its 2024 peak. Under the revised valuation methodology, the company's mNAV registers at 1.02x. Previously, when measured against Strategy's gross Bitcoin per share, the stock appeared undervalued. However, by factoring in the net Bitcoin per share after accounting for approximately $22 billion in senior claims, the same share price now reaches parity. This marks Strategy's latest adjustment during a prolonged bear market, which began in October of the previous year. The company's flagship preferred share, STRC, continues to trade below its $100 par value, indicating ongoing challenges. Despite these pressures, Strategy's internal analyses suggest the current financial structure remains stable, provided Bitcoin's value does not decline by more than roughly 11% annually through the early 2030s.
