SpaceX Financial Update and Lockup Expiration: What Investors Need to Know

Space Exploration Technologies, widely recognized as SpaceX, is preparing for a pivotal period next month. On August 4, the company will deliver its inaugural financial update since becoming publicly traded, providing crucial details on the expansion of its Starlink subscriber base and investments in artificial intelligence. Nevertheless, the subsequent event on August 6 is anticipated to have an even more profound impact on the company's stock value, as it marks the expiration of the initial lockup period for a substantial number of its original investors.

When SpaceX transitioned to a public entity, only about 5% of its total shares were made available to the public. The remaining 95% are held by early investors who are contractually restricted from selling their shares until specific lockup dates. The first of these restrictions concludes on August 6, which is the second full trading day following the announcement of its second-quarter financial results. This upcoming date presents a significant test for the market's capacity to absorb an increased supply of shares now that the initial enthusiasm surrounding the IPO has subsided.

The majority of these restricted shareholders will be eligible to divest up to 20% of their holdings on this date. An additional 10% could be released if SpaceX's stock maintains a price 30% above its initial public offering (IPO) price for at least five trading days within the ten-day period preceding the earnings report. However, current market conditions show the stock trading below its IPO price for nearly two weeks, which could temper the extent of immediate selling. If early investors choose to sell the maximum permissible amount, this could introduce approximately $106 billion worth of shares into the market, based on current stock valuations.

While passive index investors, such as those tracking the Nasdaq-100 and Russell 1000, are expected to gradually increase their allocation to SpaceX as its free float expands, this process is not instantaneous, as most indexes adjust their weightings quarterly. Consequently, the market will largely need to absorb the potential selling pressure independently, particularly given the stock's lukewarm performance since late June. The stock has experienced a decline exceeding 33% in July, indicating a greater number of sellers than buyers. The impending lockup expiration could exacerbate this downward pressure on the stock price.

Conversely, the investment community has long been aware of this August 6 lockup expiration, as well as the seven subsequent expiration dates that will eventually allow most early investors to sell all their shares. This long-standing knowledge suggests that the anticipated selling pressure might already be incorporated into the current stock price. If this is indeed the case, the stock price could potentially recover or even rise, even as early shareholders liquidate some of their positions. Such a scenario would signal robust underlying demand for the stock, especially at a valuation significantly lower than its IPO price.
