Roku-Fox Mega-Merger Details Emerge

In the autumn of last year, specifically in late September, Anthony Wood, the visionary founder and CEO of Roku, brought a sensitive topic before his company's board of directors: his eventual departure. Wood outlined his intention to gradually decrease his operational involvement with Roku, proposing a co-CEO model before transitioning to a board-only role. Concurrently, he suggested that the board explore potential acquisition opportunities for the company. Following this pivotal meeting, Roku's board initiated a strategic market assessment to gauge interest from potential buyers, a process that culminated in Fox Corp.'s substantial $22 billion offer.

This landmark transaction, announced in June, is anticipated to close in the first half of the coming year, promising a profound transformation of the streaming sector. Roku boasts an impressive user base of over 100 million streaming households, while Fox Corp., beyond its traditional broadcast and cable networks, operates Tubi, a free, ad-supported streaming service that recently surpassed 110 million users. The synergy between Roku's platform dominance and Fox's content ownership positions the combined entity as a formidable force in the digital entertainment landscape.

Wood, at 60 years old, established Roku in 2002 and developed the precursor to its current product offering in 2008, initially with a significant equity investment from Netflix. His succession strategy, reminiscent of Reed Hastings' approach at Netflix, was met with a degree of skepticism by Roku's board. The board minutes, detailed in an S-4 filing on August 7th, expressed concerns that Wood's reduced involvement could pose "potential risks to Roku's business," highlighting the potential loss of his invaluable expertise and strategic foresight, especially given the inherent uncertainties of a CEO transition.

Despite Wood's initial desire to step back, the agreement with Fox Corp. stipulates his continued executive involvement for at least a year post-acquisition, after which he will transition to a board position. The S-4 filing further reveals that Roku initiated its outreach to potential acquirers early this year, with financial advisors and Wood himself engaging with twelve different companies, including Fox. The board intentionally excluded three other entities from initial discussions due to "strategic business considerations" and commercial sensitivities, though one of these, identified as 'Party K,' was later brought into the negotiation process.

Although specific names were not disclosed, it is speculated that companies such as Comcast, Google, Amazon, and Apple were among those considered. Ultimately, Fox emerged as the most serious contender, despite preliminary interest from several other parties. Lachlan Murdoch, CEO of Fox Corp., met with Anthony Wood in New York in late April to inform him of Fox's impending bid and to discuss Wood's potential ongoing role post-acquisition. Their conversations touched upon various aspects of Roku's business, including artificial intelligence content and revenue growth strategies.

A subsequent meeting in June further solidified these discussions, with Murdoch reiterating the offer of a continued role and a potential seat on the Fox board. Wood indicated his willingness to consider such a role, emphasizing that his decision would be contingent upon it being in the best interest of Roku's stockholders and limited to a short duration, likely one year, aligning with his long-held desire to scale back his day-to-day management responsibilities.

The merger announcement formally confirmed Wood's ongoing role and his future position on the Fox Board of Directors, though the exact duration of his operational capacity remains to be determined. The S-4 filing also offered a glimpse into the financial projections of both companies, forecasting significant revenue growth in the coming years. Fox anticipates ending fiscal year 2026 with $16.9 billion in revenue and $3.74 billion in adjusted EBITDA, projecting an increase to $21.5 billion in revenue and $4.7 billion in adjusted EBITDA by 2031. Roku expects to conclude 2026 with $5.7 billion in revenue and $650 million in adjusted EBITDA, with projections rising to $10.6 billion in revenue and $2.2 billion in adjusted EBITDA by the end of 2030.

The successful closure of this deal hinges on regulatory approval. Historically, past administrations have permitted large mergers, often with stipulations to preserve market competition. Recent reports from Capitol Forum indicate that the Department of Justice has requested Fox and Roku refile their premerger notification forms, extending the review period. Given Fox's ownership of Fox News, the deal may also attract scrutiny from state attorneys general, particularly from states like California, which have actively challenged other significant media mergers. If the merger proceeds as planned, the companies anticipate realizing $400 million in cost synergies within the first half of the following year.

The Murdoch family's previous divestiture of much of their entertainment assets to Disney aimed to bolster Disney's streaming ambitions while Fox pursued a more focused, TV-centric strategy. With the Roku acquisition, Fox appears poised to transition into a major streaming power, controlling not only content but also a critical platform for its distribution.
