On July 6, Solstice Advanced Materials Inc. (NASDAQ: SOLS) revealed its intent to acquire Element Solutions through a substantial cash-and-stock transaction totaling roughly $14.5 billion. This strategic merger is designed to establish a dominant force in the specialty chemicals industry, leveraging the complementary portfolios of both entities.

The core objective of this acquisition is to merge Solstice's extensive range of polymers and performance fluids with Element's specialized focus on electronics and semiconductor products. Transaction Details and Future Ownership Structure

Under the terms of the agreement, Element shareholders will receive $10 in cash and 0.5 shares of Solstice stock for each share they hold. This represents a premium of approximately 15% over Element's closing price on July 2. Upon the projected closing of the transaction in the first half of 2027, Element investors are anticipated to own approximately 44% of the newly combined entity, which will continue to operate under the established Solstice brand name.

Following the completion of the acquisition, Solstice Advanced Materials Inc. (NASDAQ: SOLS) CEO David Sewell will assume leadership of the unified organization. This acquisition follows a significant corporate restructuring for Solstice, which was spun off as an independent company from Honeywell in October 2024.
