These notes are structured as senior unsecured liabilities, featuring an annual interest rate of 6.5%, payable semi-annually. The initial conversion rate for these notes is set at 249.7502 shares per $1,000 face value, translating to an estimated conversion price of $4 per share, which represents approximately a 30% premium over the public offering rate.
