Edwards Lifesciences' Acquisition of JC Medical Draws Scrutiny

In August 2024, the medical device giant Edwards Lifesciences finalized its acquisition of JC Medical, a specialist in transcatheter aortic valve replacement (TAVR) technology, from Genesis Medtech. This transaction, initially valued at $115 million upfront with an additional $25 million investment in Genesis, soon became the subject of an investigation by the US Federal Trade Commission (FTC).

Circumventing Antitrust Review: The HSR Act Violation

The FTC's complaint, filed in the District Court of Columbia, revealed that Edwards Lifesciences allegedly structured the financial terms of the acquisition to deliberately bypass the Hart-Scott-Rodino (HSR) Act's mandatory notification and waiting period requirements. At the time, the threshold for HSR review was set at $119.5 million. By purportedly segmenting the payments, Edwards avoided this crucial review, which is designed to allow antitrust agencies to assess potential anti-competitive impacts of mergers and acquisitions.

The JenaValve Connection: Further Anti-Competitive Concerns

Compounding the regulatory issues, Edwards Lifesciences proceeded to enter an agreement to acquire JenaValve, a direct competitor to JC Medical, just one day after the JC Medical deal closed. This move raised further red flags with the FTC, which subsequently sued Edwards in August 2025 to block the JenaValve acquisition. A court injunction in January 2026 successfully halted Edwards' plans to consolidate these key players in the nascent aortic regurgitation (TAVR-AR) market, citing significant anti-competitive concerns.

Record-Breaking Penalties and Remedial Actions

To resolve the legal dispute surrounding the JC Medical acquisition, Edwards Lifesciences has been ordered to pay a $10 million penalty to the FTC, with JC Medical incurring an additional $2 million fine. This combined $12 million represents the largest penalty ever imposed for an HSR Act filing failure. In response to the ruling, Edwards is now mandated to establish a comprehensive antitrust compliance program, including appointing a dedicated compliance officer, to ensure adherence to both the court's judgment and broader antitrust laws.

FTC's Firm Stance on Enforcement

FTC chairman Andrew Ferguson emphasized the commission's unwavering commitment to enforcing antitrust regulations. He warned that companies attempting to evade lawful FTC review will face severe consequences, reaffirming the agency's vigilance in pursuing penalties for violations of the Hart-Scott-Rodino Act.
