Charter Communications Finalizes $34.5 Billion Cox Acquisition, Rebrands as Cox Communications

Charter Communications, a major player in the U.S. cable sector, has successfully concluded its significant acquisition of Cox Communications. This monumental transaction, valued at $34.5 billion, establishes a formidable cable enterprise that now extends its services to an estimated 37 million subscribers across 45 American states. This consolidation follows the necessary federal and state regulatory approvals, with the final clearance granted by the California Public Utility Commission (CPUC) recently.

Following the merger, the overarching corporate identity will transition to Cox Communications, while customer-facing services will uniformly operate under Charter's established Spectrum brand. The company will maintain its primary operational hub in Stamford, Connecticut, concurrently preserving a substantial presence in the Atlanta region, the former base of Cox. To mark this new chapter, the integrated company is extending a complimentary year of mobile service to eligible former Cox internet subscribers who are not currently utilizing Cox Mobile. Furthermore, Spectrum is slated to introduce its full suite of products to all consumers in the previously served Cox territories by mid-September.

A notable consequence of this merger is the restructuring of ownership, as John Malone's Liberty Broadband has divested its direct stake in Charter and will no longer nominate members to the Charter board. Malone, a renowned figure in cable industry transactions, initially invested in Charter over a decade ago, acquiring a 27% share in 2013. He expressed confidence in the merger's potential to create a more robust and competitive entity capable of increased investment and innovation. Chris Winfrey, who serves as the President and CEO of Charter, will continue to lead the newly combined organization and retain his position on the board. Alex Taylor, previously the chairman and CEO of Cox Enterprises, has been appointed as the chairman of the unified company. Additionally, Eric Zinterhofer, Charter's former chairman, will assume the role of lead independent director. Cox Enterprises has also appointed Dallas Clement and Mark Greatrex to the 13-member board, further solidifying the leadership team of the newly formed entity.
